Terms of Service

Please read these terms carefully before using AdSherpa.

Important Notice

These Terms of Service constitute a legally binding agreement between you and AdSherpa. By accessing or using our service, you agree to be bound by these terms. If you do not agree to these terms, please do not use our service.

1. Acceptance of Terms

By creating an account, accessing, or using AdSherpa (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms apply to all users of the Service, including visitors, registered users, and paid subscribers.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your agreement to these Terms will be treated as the agreement of the organization.

2. Description of Service

AdSherpa is a SaaS platform that provides automated advertising performance reporting and analytics for Google Ads and Meta Ads (Facebook and Instagram). Our service includes:

  • Automated report generation with AI-powered insights
  • Integration with Google Ads and Meta Ads platforms
  • AI chat assistant for data analysis and questions
  • Report customization and editing capabilities
  • Secure report sharing with password protection
  • Performance analytics and recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration & Security

3.1 Account Creation

  • You must provide accurate, current, and complete information during registration
  • You must be at least 18 years old to create an account
  • One person or legal entity may maintain only one account
  • You must keep your account information up to date

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your password
  • You are responsible for all activities that occur under your account
  • You must notify us immediately of any unauthorized access or security breach
  • We recommend enabling two-factor authentication for enhanced security

3.3 Account Restrictions

You may not:

  • Share your account credentials with others
  • Create multiple accounts to circumvent usage limits
  • Use another person's account without permission
  • Transfer your account to another person without our written consent
4. Subscription Plans & Billing

4.1 Subscription Plans

We offer multiple subscription tiers:

  • Free Plan: Limited features with 2 report credits and 10 chatbot queries per month
  • Basic Plan ($29/month): 20 report credits and 50 chatbot queries per month
  • Pro Plan ($79/month): 50 report credits and 200 chatbot queries per month

4.2 Billing Terms

  • Subscriptions are billed monthly in advance
  • Payment is processed through Stripe, our secure payment processor
  • All fees are in USD unless otherwise specified
  • You authorize us to charge your payment method on a recurring basis
  • Failed payments may result in service suspension or termination

4.3 Price Changes

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

4.4 Refund Policy

  • Refunds are generally not provided for partial month subscriptions
  • We may provide refunds on a case-by-case basis at our sole discretion
  • Unused credits do not carry over and are non-refundable
  • If you believe you were charged in error, contact us within 30 days

4.5 Cancellation

  • You may cancel your subscription at any time from your account settings
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to paid features until the end of the billing period
  • After cancellation, your account will revert to the Free Plan

4.6 Additional Credits

You may purchase additional report credits or chatbot query credits at any time. Additional credits are valid for 90 days from purchase and are non-refundable.

5. Usage Limits & Credits

5.1 Credit System

  • Report credits reset monthly on your billing date
  • Chatbot query credits reset monthly on your billing date
  • Unused credits do not roll over to the next billing period
  • Credit usage is tracked in real-time in your account dashboard

5.2 Fair Use Policy

We expect users to use the Service in good faith. We reserve the right to:

  • Monitor usage patterns to detect abuse
  • Throttle or limit excessive API calls or automated requests
  • Suspend accounts that violate fair use principles
  • Implement additional rate limits if necessary to ensure service stability

5.3 Service Availability

While we strive for 99.9% uptime, we do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for service interruptions, downtime, or data loss.

6. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malware, viruses, or any harmful code
  • Attempt to gain unauthorized access to our systems or user accounts
  • Interfere with or disrupt the Service or servers
  • Use automated scripts, bots, or scrapers without written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or redistribute the Service without authorization
  • Collect or harvest personal information from other users
  • Impersonate another person or entity
  • Upload or share content that is illegal, harmful, or offensive
  • Spam, phish, or engage in fraudulent activities
  • Use the Service to compete with or create a similar product

Violation Consequences

Violation of this Acceptable Use Policy may result in immediate account suspension or termination without refund. We reserve the right to report illegal activity to law enforcement.

7. Third-Party Integrations (Google Ads & Meta Ads)

7.1 Authorization

By connecting your Google Ads or Meta Ads accounts, you authorize AdSherpa to access your advertising data as described in our Privacy Policy. You represent that you have the necessary rights and permissions to grant this access.

7.2 Third-Party Terms

Your use of Google Ads and Meta Ads is subject to their respective terms of service:

7.3 Data Accuracy

We rely on data provided by third-party platforms. We are not responsible for inaccuracies, delays, or errors in data provided by Google, Meta, or other third parties. You should verify critical data directly with the source platform.

7.4 Revocation of Access

You may revoke our access to your advertising accounts at any time. If you revoke access, you may lose access to features that depend on that integration. We are not liable for any loss of data or functionality resulting from revocation.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Service, including all software, design, text, graphics, logos, and other content, is owned by AdSherpa and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

8.2 Trademarks

"AdSherpa" and our logo are trademarks of AdSherpa. You may not use our trademarks without prior written consent.

8.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback into our Service without any obligation to you.

9. User Content & Data Ownership

9.1 Your Content

You retain ownership of all data, reports, and content you create or upload to the Service ("User Content"). By using the Service, you grant us a limited license to host, store, process, and display your User Content solely for the purpose of providing the Service.

9.2 Data Rights

Your advertising data remains yours. We access it only as authorized by you and as necessary to provide the Service. See our Privacy Policy for details on how we handle your data.

9.3 Content Responsibility

You are solely responsible for your User Content and the consequences of sharing it. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any laws or third-party rights.

9.4 Data Portability

You may export your reports and data at any time. Upon account termination, we will delete your data in accordance with our Privacy Policy and data retention schedule.

10. Disclaimers & Warranties

Important Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

  • We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free
  • We do not warrant the accuracy, completeness, or reliability of any content or data
  • AI-generated insights and recommendations are provided for informational purposes only and should not be solely relied upon for business decisions
  • We are not responsible for third-party services, integrations, or content
  • We do not guarantee specific results or outcomes from using the Service
  • Historical performance data does not guarantee future results

Professional Advice

AdSherpa provides data analysis and recommendations but is not a substitute for professional marketing, financial, or legal advice. You should consult with qualified professionals before making significant business decisions based on our Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADSHERPA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, WHETHER IN AN ACTION IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability to you for all claims arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless AdSherpa, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

12.1 Termination by You

You may terminate your account at any time by accessing your account settings or contacting us. Cancellation of paid subscriptions is subject to the billing terms in Section 4.

12.2 Termination by Us

We may suspend or terminate your account at any time if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account is inactive for more than 12 months
  • We are required to do so by law
  • Your payment method fails repeatedly
  • We detect fraudulent or suspicious activity
  • We discontinue the Service entirely

12.3 Effect of Termination

  • Your access to the Service will cease immediately or at the end of your billing period
  • We will delete your data according to our Privacy Policy and retention schedule
  • You may request a data export before termination
  • Sections of these Terms that should survive termination will remain in effect
  • No refunds will be provided for partial subscription periods unless required by law
13. Modifications to Service & Terms

13.1 Service Changes

We reserve the right to modify, update, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that negatively impact functionality.

13.2 Terms Changes

We may update these Terms from time to time. When we make material changes, we will notify you via email or through a prominent notice in the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

14. Governing Law & Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

If a dispute arises between you and AdSherpa, we encourage you to contact us first to seek an informal resolution. Most disputes can be resolved quickly and amicably through direct communication.

14.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the award may be entered in any court having jurisdiction.

14.4 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in class actions, class arbitrations, or representative actions.

Additional Provisions

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and AdSherpa regarding the Service.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or internet outages.

Acknowledgment

By using AdSherpa, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.
